Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and EldrisAi OÜ ("Eldris", "we", "us", or "our"), a company registered in Estonia (Registry Code: 3162734).
By accessing or using our EU Responsible Person services at responsible.eldris.ai (the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Service.
These Terms apply to all users, including companies, sole traders, and individuals using the Service for commercial purposes related to selling products in the European Union.
2. Description of Services
Eldris provides the following EU Responsible Person services:
- EU Responsible Person Appointment: Acting as your named EU Responsible Person for cosmetics (under EU Regulation 1223/2009) and general consumer products (under EU Regulation 2019/1020).
- Compliance Documentation: Generation of official EU Responsible Person appointment certificates.
- Authority Liaison: Serving as your primary contact point for EU market surveillance authorities.
- Platform Access: Self-service portal for managing your product catalogue, documentation, and certificates.
- EU Address Provision: Use of our registered EU address on product packaging for regulatory compliance.
Important: Eldris does not provide legal, tax, or product safety testing services. Our role is limited to acting as your EU Responsible Person and does not extend to verifying product safety or compliance with product-specific regulations.
3. Account Registration
To use our Service, you must:
- Register for an account with accurate, complete, and current information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorised access
- Be at least 18 years of age or have legal authority to bind your organisation
You are responsible for all activities that occur under your account. Eldris reserves the right to suspend or terminate accounts that violate these Terms.
4. Client Obligations
By using our Service, you agree to:
- Provide accurate and complete product information, including product descriptions, ingredients (where applicable), and safety documentation.
- Ensure your products comply with all applicable EU product safety regulations before placing them on the EU market.
- Maintain appropriate product liability insurance for products sold in the EU.
- Promptly notify Eldris of any product safety incidents, recalls, or regulatory inquiries.
- Keep product information current and update Eldris of any material changes.
- Not use the Service for products that are illegal, prohibited, or otherwise non-compliant with EU regulations.
Warning: Providing false or misleading product information may result in immediate termination of services and may expose you to legal liability.
5. Pricing and Payment
5.1 Fee Structure
- One-Time Onboarding Fee: £195 per country, payable once upon initial registration.
- Monthly Base Fee: £9.95 per month.
- SKU-Based Tiers: Monthly fees based on active SKU count, as published on our pricing page.
5.2 Payment Terms
- Payments are processed via Stripe. You authorise recurring charges to your payment method.
- All fees are payable in advance on a monthly billing cycle.
- Prices are quoted in GBP (£) unless otherwise stated.
- VAT will be added where applicable based on your business location.
- Failed payments may result in service suspension after a 7-day grace period.
6. Term and Termination
6.1 Subscription Term
Your subscription continues on a month-to-month basis until terminated by either party. The one-time onboarding fee is non-refundable.
6.2 Termination by You
You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of your current billing period.
6.3 Termination by Eldris
We may terminate or suspend your account immediately if you:
- Breach these Terms
- Fail to pay fees when due
- Register products that are illegal or prohibited
- Provide materially false information
6.4 Effect of Termination
Upon termination, your EU Responsible Person appointment will cease. You must update product packaging and marketplace listings to remove Eldris details within 30 days.
7. Limitation of Liability
To the maximum extent permitted by law:
- Eldris's total liability for any claims arising from the Service shall not exceed the fees paid by you in the 12 months preceding the claim.
- Eldris shall not be liable for indirect, incidental, special, consequential, or punitive damages.
- Eldris is not liable for product safety issues, product recalls, or regulatory non-compliance caused by inaccurate information provided by you.
- Eldris is not liable for marketplace listing suppressions, sales losses, or business interruption.
These limitations do not exclude liability that cannot be excluded under applicable law, including liability for fraud or personal injury.
8. Indemnification
You agree to indemnify, defend, and hold harmless Eldris, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your breach of these Terms
- Your products, including product liability claims
- Inaccurate or misleading product information provided by you
- Your violation of applicable laws or third-party rights
9. Intellectual Property
The Service, including its design, features, code, and documentation, is owned by Eldris and protected by intellectual property laws. You may not copy, modify, or reverse engineer any component of the Service.
Certificates and documents generated for your products are licensed to you for your business use only and may not be transferred or sublicensed without prior written consent.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of Estonia, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of the Service shall be submitted to the exclusive jurisdiction of the courts of Estonia. For EU consumers, mandatory consumer protection laws of your country of residence shall apply where required.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
12. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
